Proper Corporate & Investment Structuring to Protect the Entrepreneur's Vision
Part of Innovate New Albany's new TIGER Talks Series: Entrepreneurs have so many issues to worry about when starting a business! One that often gets little attention is the best form for the new entity. Founders wonder what type of entity to create, whether to form their company in Ohio or elsewhere, and what their company will look like if they take on investment dollars. If not handled correctly, follow-on financing rounds can destroy a founder's decision-making authority and place it solely in the hands of the investors. This could be the death knell of the founder's original vision. Lindsay Stencel's talk will cover how to approach initial corporate formation, early investment rounds, and how to avoid common pitfalls. Creating a sound corporate structure will allow founders to use the company to help catch their vision and dream and then protect them! Speaker: Lindsay Karas Stencel is an attorney, licensed in both Ohio and Michigan, and a partner with NCT Ventures, a venture capital firm located in Columbus. Lindsay also assists companies and entrepreneurs through her own legal practice, Lindsay Karas Stencel Law, LLC, helping individuals and businesses with their legal needs, including corporate formation, investments and exits, as well as day-to-day contract, employment and other legal and business matters. Lindsay earned both her JD and her MBA at The Ohio State University. She lives in New Albany with her husband.
